Advisory Council

Destined to become the preferred method
of coal extraction in the 21st Century

The Advisory Council consists of the nominated representatives of each founder Member.

The Advisory Council has responsibility for making any changes to the governing rules and any issue relating to the existence and the legal status of the Association. The role of the Advisory Council is advisory with respect to the management of the Association. Although the UCG Company may elect to consult with the Advisory Council on key management issues relating to the Association from time to time, the UCG Company shall have no obligation to do so and shall have sole discretion whether or not to follow any advice expressed by the Advisory Council without any justification being required therefor.

The Advisory Council meets from time to time at the call of the Chairman to discuss issues put forward by founder Members or to discuss management issues raised by the UCG Company for consultation purposes.

The Association shall hold an annual meeting of the Advisory Council after the end of each financial year. Notice will be given of this event at least three weeks by the Secretary. At this meeting the Chairman and Secretary will give a report on the activities and progress of the Association over the previous financial year.

Where a subject matter proposed to be raised at a meeting of the Advisory Council is an issue on which a vote will be required this subject matter must be communicated to the Secretary at least two weeks in advance in writing and be supported by at least three members of the Advisory Council. The method of voting on issues raised (show of hands or ballot) will be at the discretion of the Chairman.

Changes to these governing rules of the Association and any decision relating to the existence and legal status of the Association will require a two-thirds majority.

Alternate personnel may be nominated by an Advisory Council member to represent him or her at an Advisory Council meeting.
